Removal of a director in the Czech Republic: documents and forms

A CFO of a foreign parent company learns that the general meeting has voted to remove a director, but the Czech commercial register has not yet been updated. This page sets out the documents and forms that removal of a director requires under Czech corporate rules, and the deadline that runs from the day the decision takes effect. Until the filing is made, the outdated entry stands, the outgoing director can still bind the company, and the window for an orderly handover narrows.

Removal of a director runs through a resolution of the general meeting, or the sole shareholder's written decision, governed by Czech corporate law and the commercial register's filing rules. The resolution, together with the director's notification or acknowledgement, must be filed for registration within the statutory period that follows the effective date.

This page sets out who may file, the route and its deadline, the documents and forms the register expects, and where a foreign parent should stop and take a report before acting.

When does removal of a director stop being optional?

Removal stops being optional once the outgoing director's conduct exposes the company to a risk the general meeting can no longer tolerate, or once the register entry itself no longer matches who actually holds the office.

A general meeting may remove a director at any time, without stating a reason, because Czech corporate law treats the office as one of trust rather than employment. In practice the decision is usually forced by something more specific: the director has entered a competing business, has missed a filing that exposes the company to director liability, or the commercial register still lists a person no longer authorised to act. A resolution taken today does not by itself change what the register shows tomorrow. Until the entry is updated, the outgoing director retains the power to sign on the company's behalf, and a contract signed in that window is not automatically void. The time lost while the entry stands incorrect cannot be restored once a third party has relied on it.

Who may file, and does it apply to your case?

The decision belongs to the general meeting or the sole shareholder; the filing itself is made by the company, not by the departing director, and not usually by a single shareholder acting alone.

For a limited liability company or a joint-stock company, removal is decided by the general meeting, by the majority the articles require. Where the company has a single shareholder, that shareholder's written resolution takes the place of a meeting under Czech company law. A court orders removal only in narrow circumstances - typically where a dispute has already reached litigation over group structure and parent exposure, or where a departing partner has run a competing business alongside the company. Those disputes follow a different procedural track from a routine board change, and this page does not describe them. Once the resolution exists, the company files it, and the beneficial owner register must be checked separately, since removing a director does not automatically update who is recorded there.

A resolution that removes a director is a corporate act; only the register entry makes it visible to anyone reading the file from outside the company.

A CFO reviewing a director change from abroad often cannot tell, from the file alone, whether the resolution and the register already match. What is the route, and what is the deadline?

The route runs from the general meeting's resolution to the filing with the commercial register, and Czech law sets a binding period within which that filing must be made once the change takes effect.

The sequence is straightforward on paper: the meeting resolves, the minutes or written decision are drawn up, the outgoing director is notified, a successor is appointed if the articles require one, and the company files the change. The deadline runs from the day the removal takes effect, which is not always the day the resolution is signed. Missing the period does not undo the removal itself, but it leaves the public record wrong for as long as the gap lasts - the register keeps the entry until a fresh filing corrects it.

A German parent company shortened a director's exposure window by three months after filing the removal and the successor's appointment together, rather than in two separate steps (autumn 2025).

What must the file contain – documents and forms for removal of a director in Czech corporate practice

The Czech commercial register expects the resolution itself, proof that the meeting was validly called or that the sole shareholder acted in writing, the outgoing director's acknowledgement or the court decision, and identification documents for anyone newly appointed.

An outgoing director who is not properly notified can challenge the removal later, and until that challenge is resolved, questions of personal liability from the disputed period stay open. Where the removal follows a dispute over a competing business run by the departing partner, the underlying evidence - correspondence, contracts, a parallel company's own filings - belongs with the advocate handling that dispute, not with the registration file itself; we describe how that evidence is assembled separately in the note on management running a competing business.

A file that satisfies the register is not the same file that would satisfy a court asking why the director was removed.

An Austrian shareholder avoided a second filing round after preparing the successor's consent and identification documents before the meeting rather than after it (spring 2026).

Assembling this file from abroad, months after the meeting, is where most delay sits. LISTINA reviews the resolution, the register entry and the supporting documents against each other and delivers a factual report on what is missing, within five to eight working days, at info@listinafirm.com. Where representation before the register or a Czech court proves necessary, a collaborating advocate takes that part of the matter.

Act, wait, or stop: the decision point

Filing now is the right choice once the resolution and the supporting documents are complete. Waiting is defensible only while a genuine gap in the file is being closed. Stopping to obtain a report is the right choice once the same document has already been read two different ways inside the group.

Where the outgoing or incoming director also holds office in a related company abroad - a Slovak subsidiary is the frequent case for a Czech-Slovak group - the register entry there should be checked before the Czech commercial register filing is made. A structure report for Slovakia reads differently from a Czech extract, and the two are not always reconciled inside the group.

A report built from the register and the filed documents shows what is on record and what is missing from it. It does not establish why the general meeting decided as it did, whether the removed director in fact breached a duty, or how a court would rule if the removal is challenged; those questions are answered, if at all, once a lawyer has the file.
